Photograph Terms and Conditions

"Photograph(s)" means all photographic material furnished by E360IMAGE, LLC. hereunder whether transparencies, negatives, prints, digital media,cd's,dvd's, video, television or otherwise.

Except as otherwise specifically provided herein, all photographs and rights therein, including copyright, remain the sole and exclusive property of E360IMAGE, LLC.

Client will not prevent E360IMAGE, LLC./ or photographer from making or permitting any alterations, additions, or subtractions in respect of the photographs, including without limitation any digitalization or synthesizing of the photographs, alone or with any other material, by use of computer or other electronic means or any other method or means now or hereafter known.

Client will indemnify, hold harmless and defend E360IMAGE, LLC./or photographer against all claims, liability, damages, costs, and expenses, including reasonable legal fees and expenses, arising out of any use of any photographs for which no release was furnished by client, or any photographs which are altered by Client. Unless so furnished, no release exists. E360IMAGE, LLC. liability for all claims shall not exceed in any event the total amount paid under this invoice.

Client shall indemnify, hold harmless and defend E360IMAGE, LLC./ or photographer against all claims, liability, damages and expenses incurred by Photographer in connection with any third party claim arising out of use of said material hereunder.

Time is of the essence for receipt of payment and return of media. No rights are granted until timely payment is made.

Client may not assign or transfer this agreement or any rights granted hereunder. This agreement binds and inures to the benefit of E360IMAGE, LLC., Client, Client's principals, employees, agents and affiliates, and their respective heirs, legal representatives, successors and assigns. Client and its principals, employees, agents and affiliates are jointly and severally liable for the performance of all payments and other obligations hereunder. No amendment or waiver of any terms is binding unless set forth in writing and signed by the both parties. However, the invoice may reflect, and Client is bound by, oral authorizations for fees or expenses which could not be confirmed in writing because of immediate proximity of shooting. This agreement incorporates by reference Article 2 of the Uniform Commercial Code, and the Copyright Act of 1976, as amended.

Any dispute regarding this agreement shall be arbitrated in the State of Georgia under rules of the American Arbitration Association and the laws of State of Georgia. Judgment on the arbitration award may be entered in any court having jurisdiction.

Client hereby expressly consents to the jurisdiction of the Federal courts with respect to claims by E360IMAGE, LLC. under the Copyright Act of 1976, as amended.

Reshoots: Client will be charged 100% fee and expenses for any reshoot required by Client. For any reshoot required because of an act of God or the fault of a third party, E360IMAGE, LLC. will charge no additional fee and Client will pay all expenses. If E360IMAGE, LLC. charges for special contingency insurance and is paid in full for the shoot, Client will not be charged for any expense covered by insurance. A list of exclusions from such insurance will be provided on request.

Cancellations of Tour shoots and postponements: Client is responsible for payment of all tour fees applicable and expenses incurred up to the time of cancellation of tour shoot, plus 50% of E360IMAGE, LLC. virtual tour fee. If notice of cancellation of tour shoot is given less than two (2) business days before the shoot date, Client will be charged 100% fee. Weather postponements: Unless otherwise agreed, Client will be charged 100% fee if postponement is due to weather conditions on location and 50% fee if postponement occurs before departure to location.

Billing Policy:

We accept payments online by credit card via PayPal. All items will be paid for at the time of purchase. Virtual Tours may be pre-purchased prior to the tours being activated or published.We also accept personal checks, corporate checks, cashier checks & money orders. A $35.00 "insufficient funds charge" will be added for all returned checks.

Any tours not paid for prior to activation or publishing to internet on behalf of any realtor, owner or agency will be subject to late fees. If in the event payment is not received within 30 days from original invoice date a late fee will be added to original invoice fee. The late fee amount will be equal to plus 50% of E360IMAGE, LLC. original invoice fee for each month after original invoice date that payment is late and will be compounded monthly until original invoice fees plus late fees and expenses are paid. This fee will be accessed exactly 30 days from date of E360IMAGE, LLC.original invoice date. Also, the invoice may reflect oral authorizations for additional services needed or expenses which could not be confirmed in writing done solely at the Client's request and on the behalf and for the Client, Client's principals, employees, agents, and affiliates, and their respective heirs, legal representatives, successors and assigns. Client and its principal's, employees,agents, and affiliates are jointly and severally liable for performance of all payments and obligations hereunder. Client, Client's principals, employees, agents, and affiliates, and their respective heirs, legal representatives, successors and assigns are responsible for payment of all transmitted (by either or email, fax, certified mail etc.) invoices received and expenses incurred plus the 50% E360IMAGE, LLC. late fee if applicable. Cancellation of membership services by the Client, Client's principals, employees, agents, and affiliates, and their respective heirs, legal representatives, successors and assigns immediately activates the plus 50% E360IMAGE, LLC. late fee on any unpaid transmitted invoice balances. Any dispute regarding this agreement shall be arbitrated in the State of Georgia under the rules of the American Arbitration Association and the laws of the State of Georgia. Judgement on the arbitration award may be entered in any court having jurisdiction.

Cancellation Policy:

If tours are cancelled and are not rescheduled, 50% of the tour fee deposit will be charged.

If a tour is scheduled and the business proprietor or homeowner is not present or the property cannot be photographed, 50% deposit will be retained. Balance of payment (less the deposit) will be due at the time of completion of the tour. A late fee will be assessed on the balance due, if not paid in full prior to the time of the tour being published electronically or physically.
